CARVER WOMEN’S SOFTBALL LEAGUE BYLAWS      

 

  1. Organization is duly formed on August 4, 1982.  And is known as the CARVER WOMEN’S SOFTBALL LEAGUE.

 

  1. The purpose of said organization is to promote women’s softball and to insure that all rules and regulations are complied with.

 

  1. Said organization is open to all women of Carver, and other communities may be included by having at least one Carver resident on the roster or by 100% vote of the organization.

 

  1. Said organization shall have a board consisting of Team Representatives, and a Webmaster.  Board Members shall include one (1) team member from each team to be the Team Rep.  Member to be voted on by individual team members.  The term will run from October 1 to September 30 of each year. Executive Officers and Webmaster registration fee is waived.   

 

  1. Election of executive officers for the following year shall take place at the last meeting of the year (September), no later than September 30.  Board Members shall elect the following league officers:  President, Vice President, Secretary, Treasurer. 

 

  1. The duties of the President are to set the meeting date, place and time and to see that all rules of order are followed as well as league rules.

 

  1. Each team shall cast one (1) vote on all issues that are brought to a vote.  Executive Officers and Webmaster will only cast team’s vote if acting as Team Rep.  The President shall never cast vote, but render a final decision if vote ends in tie.

 

  1. All game protests shall be acted upon by CWSL Board Members within forty-eight (48) hours of the protest.  Teams involved are exempt from any vote concerning the protest.

 

  1. Board Members shall establish and vote upon a set of playing rules by which the organization shall comply.  All rules are to be enforced by the presiding umpire.

 

  1. Any changes in the Carver Women’s Softball League Bylaws shall require a two-thirds vote.  A quorum must be present to have a meeting.  If a quorum is not present the meeting will be postponed.

 

  1. The registration fee will be set by March 1st of each year.

 

  1. At the request of ANY team, any important matter can be tabled until the next scheduled meeting for a vote.

 

  1. Each team needs to designate a representative that is required to be present at each monthly meeting.  If a team has not had representation for 2 meetings an email or letter will be sent to the designated Team Rep. If 3 meetings are missed an email or letter will be sent to all team members of that team stating that the League assumes that their team is no longer participating in league decisions & voting.  If 3 meetings are missed during the Off Season, that team is no longer participating in the league.

 

  1.   Registration

Registration fee is paid annually prior to playing in a game.  Once a player has played 1 game as part of a team they may not join another team until the following season.  There will be open enrollment each year, where players, new and returning, may join a new/different team or rejoin the team for which they previously played.  Players may join an existing team through a friend connection or may go into a new registration pool and will be placed on teams that have open roster spots (discretion of team-there isn’t a maximum roster count required).  If there aren’t enough open roster spots to place all interested players, registration money will be refunded.

 

  1. Fred Brine Memorial Scholarship

A Golf Tournament will be held annually to raise funds for scholarship awards to graduating female high school athletes from area towns.  Fifty percent of the profits from the Golf Tournament will be placed in a separate account for the sole use of being scholarship monies.  The Golf/Scholarship Committee, using the previous years’ proceeds, will determine the annual scholarship amounts.  The amount available for scholarship awards will be determined by the Golf/Scholarship Committee by the 1st League Meeting of the following year in which the Golf Tournament was held.  The Committee will set the amount of scholarship monies to be awarded per student depending on the number of deserving applicants.  The Golf/Scholarship Committee will review applicants and determine awardees in April of each year and notify each applicant of the Committees decision by May 15 of each year.  Scholarship awards will be distributed upon successful completion of 1st semester and receipt of 2nd semester invoice.

 

  1. Indemnification of Directors and others. 

To the extent permitted by law and except as otherwise provided in this Article VI, the League shall indemnify any person serving or has served as a Director, Officer, employee, or other agent of the League, or at its request as a Director, Officer, employee, or other agent of any other organization in which the League has an interest against all liabilities and expenses, including amounts paid (i) in satisfaction of judgments, (ii) in compromise or as fines and penalties other than punitive damages, and (iii) in counsel fees, reasonably incurred by him in connections with the defense or disposition of any action suit or other proceeding, whether civil or criminal, in which he may be involved or with which he may be threatened, while serving or thereafter, by reason of his being or having been such a Director, Officer, employee, or agent.
